myBench Terms of Service

Version 1.0 (revised draft) Effective for each Customer when its authorized representative affirmatively accepts this version after release. Last updated: October 22, 2026. Draft for attorney review; not yet in effect.

These Terms of Service (the "Terms") are an agreement between Z6 Mgmt Consulting, LLC, a Wyoming limited liability company doing business as Z6 Advisory, based in Lake Forest, California ("Z6", "we", "us" or "our"), and the company or other organization that signs up for myBench (the "Customer" or "you").

Please read them. They are written in plain English on purpose. If something is unclear, email us at azahran@z6advisory.com before you agree.

1. Who this agreement is with

1.1 The Customer is the business. These Terms bind the organization identified in the account when an authorized representative affirmatively accepts them on its behalf. Account creation or payment without clear notice and affirmative acceptance is not a substitute for that acceptance.

1.2 Authority. The person accepting confirms that they have authority to bind the Customer. A consultant may accept for a client only with that authority. If you lack authority, do not accept; ask an authorized representative to do so. Transferring the account holder role does not release the Customer from an existing agreement.

1.3 Each person who uses myBench also accepts the myBench End User License Agreement (the "EULA"), shown inside the app. The EULA covers each individual's own use. These Terms cover the business.

1.4 Which document controls. A signed order form or Guided quote controls over these Terms only for an express conflict. The Data Processing Addendum (DPA) supplied with these Terms is incorporated and controls conflicts about processing Customer Personal Information. These Terms control the Customer's rights and obligations; the EULA controls individual use. The Privacy Policy explains our practices and is a notice, rather than a separate promise that processing requiring consent has been authorized.

1.5 Age. myBench is a business tool. It is not meant for anyone under 18, and the Customer will not invite anyone under 18.

2. Words used in these Terms

  • "myBench" or the "Service": the myBench web application, including the installable version for phones, its help content, and any related services we provide.
  • "Account holder": the Admin in your company who holds the account. The account holder manages billing, can close the account, grants consultant access and makes other Admins. The account holder role can be transferred.
  • "User": any individual who signs in to your company in myBench, including Admins, Managers, Contributors, Readers and consultants you grant access to.
  • "Customer Data": everything your Users put into myBench or that myBench creates for you from it, such as guides (written procedures), their versions and pictures, interview answers, quizzes, the map of who does what, people and department records, customer names, software records, sign-offs and history.
  • "AI Output": text that myBench produces with the help of an artificial intelligence model, such as suggested interview questions, clarity questions about a guide, quiz questions, change summaries and help answers.
  • "Plan": the Free, Pro or Guided plan described in section 4.

3. What myBench is, and what it is not

3.1 What it is. myBench is a business continuity, training and process documentation tool. It helps a business write down how work gets done, name and prove backups for important functions, and see how covered the business is when people change.

3.2 It looks at business functions, not at people. myBench is designed not to score, rank or rate individual employees. The Customer agrees not to use myBench as a tool to evaluate, discipline or rank individual people. Employment decisions remain entirely the Customer's own.

3.3 What it is not. myBench is not:

  • a password manager or vault. It may record where a credential is kept and who holds admin access to a system, never the credential itself;
  • a system for storing patient records, protected health information, payment card data, or other regulated sensitive data (see section 9);
  • an HR, payroll, timekeeping or legal compliance system;
  • insurance, or a promise that any insurer, broker, buyer or regulator will accept anything myBench produces. We do not sell insurance.

3.4 No guarantee of outcomes. myBench helps you prepare for people changes. It cannot guarantee that any person stays, that a backup will perform well, that your business avoids disruption, or that your business will be worth more.

4. Plans, trials and availability

4.1 Only offered features are included. The plan, price, billing period, user limit, included features and any trial offered to you are stated on the checkout or sign-up screen, applicable Pricing Page, or signed quote when you accept. Save a copy. Roadmaps, previews and descriptions of future features are not commitments to deliver them. Features not yet enabled, including billing integrations, exports, feedback credits or an AI assistant, are not included unless expressly offered.

4.2 Trials and Free access. A trial is free for the period disclosed at sign-up and does not become paid without an affirmative subscription and payment authorization. When a trial ends without a paid subscription, the account moves to the Free plan. On the Free plan, access to some information entered during the trial may be limited, for example content above the Free plan's limits or features that Free does not include. We will disclose the Free limits before you start the trial. Exceeding a limit may prevent additions or editing; it does not authorize automatic deletion of excess content. Account deletion follows section 15.4.

4.3 Plan changes. A paid plan's committed features and limits apply for the paid term. Price increases apply at renewal after at least [30] days' email notice. We will give at least [30] days' notice before reducing a Free limit affecting existing content. We may make changes needed to address law, security or provider withdrawal sooner, with notice where practical. If a change materially removes a paid core feature and no reasonable substitute is available, you may terminate the affected service and receive the unused prepaid fees.

4.4 Preview features. Features expressly labeled beta, preview or early access may change or be discontinued, carry no service-level commitment, and should not be used as the only record of critical procedures. We do not guarantee general release.

5. Accounts, Users and roles

5.1 Roles. Your company decides who gets access and with which role: Admin, Manager, Contributor or Reader. The account holder is responsible for keeping the list of Users current, including turning off access when someone leaves.

5.2 Responsibility for Users. The Customer is responsible for what its Users do in myBench and for making sure they follow these Terms and the EULA. Readers may be people outside your business, for example your insurance broker. You decide what they can see.

5.3 Consultants. The account holder may grant a consultant (including a Z6 consultant under the Guided plan) time-limited access to your company. A consultant acts with Admin-level access while the grant is active, with some limits, and every request a consultant makes while the grant is active is recorded in your company's audit log. You can end a grant at any time. A consultant you choose from outside Z6 is your own contractor, not ours.

5.4 Sign-in. Each User must use their own account and safeguard their sign-in credentials. Email/password and any optional social sign-in or multi-factor features are available only as actually offered. The myBench app, including Google and Microsoft sign-in when offered, runs at app.getmybench.com. The Customer must promptly revoke access that is no longer authorized and notify us of suspected compromise.

5.5 Security problems. Tell us promptly at azahran@z6advisory.com if you believe someone has gained access to your company's account without permission.

6. Fees and payment

6.1 Paid plans. Fees, currency, billing period and billable-user block are those expressly accepted at checkout or in a signed quote. Fees are payable in advance unless the quote says otherwise. No payment obligation arises merely because planned billing functionality appears in product documentation.

6.2 Who counts. On Pro, a billable user is an active member with the role Admin, Manager or Contributor. Readers, consultants and people recorded in myBench who have no login are not billable.

6.3 Changing your block. An upgrade requiring additional fees requires the account holder's affirmative approval of the price and any prorated charge. Downgrades take effect at renewal if the company fits the lower limits. We do not bill unapproved overages merely because someone attempts an invitation.

6.4 Renewal and cancellation. A paid subscription renews for the same billing period only if automatic renewal and the recurring charge were clearly disclosed and authorized when you subscribed. The account holder may cancel renewal in the billing controls when available or by emailing us before renewal. Cancellation takes effect at the end of the paid period; the account may remain Free unless closure is requested. We will provide any reminders, confirmations and cancellation methods required by applicable law.

6.5 Payment processing. When paid billing is enabled, Stripe processes card details directly. We do not store full card numbers. You authorize the recurring or one-time charges you affirmatively approve. Payment processing is subject to the processor's applicable terms and privacy notice.

6.6 Taxes. Prices do not include taxes. You are responsible for sales, use and similar taxes, other than taxes on our income.

6.7 Failed payment. We will notify the account holder of a failed payment. If unpaid for [14] days after notice, we may restrict paid features or move the account to available Free access. Security or legal restrictions may take effect sooner. Nonpayment alone does not bypass section 15.4's closure and deletion process.

6.8 Refunds. If you believe a charge should be refunded, email support at azahran@z6advisory.com within 7 days of the charge and tell us which charge and why. We will honor fair refund requests made within those 7 days. We will also correct duplicate or erroneous charges, and if Z6 terminates a paid service for convenience rather than your breach, we will refund unused prepaid fees for that service. Otherwise, except where these Terms, a signed quote or applicable law provides otherwise, fees are nonrefundable and there are no credits for unused seats or partial periods.

7. AI features

7.1 Availability. AI features that are actually offered may use Anthropic's commercial API to suggest questions, check text, draft guides, generate quizzes or summarize changes. An AI help assistant is included only when expressly made available.

7.2 What is sent. The text needed for the task is sent to the provider. Names or confidential information appearing in that text may be transmitted even if no separate identity field is supplied. The current text-based integration does not send pictures. Data handling for any new assistant or media feature must be disclosed before that feature is enabled.

7.3 No training; separate retention. We do not use Customer Data to train AI models. We use the commercial Anthropic API under terms that prohibit training on customer content. The provider may retain inputs and outputs for safety, legal and other permitted purposes, as described in the Privacy Policy. No zero-retention arrangement is promised.

7.4 Usage limits. AI is subject to the usage limits disclosed for your plan and operational limits needed to manage cost, availability and abuse. We may temporarily rate-limit or pause AI. Additional paid usage requires your affirmative authorization. A promised paid allowance will not be reduced during its committed term except as permitted by section 4.3.

7.5 AI Output needs a human. AI Output can be wrong, incomplete or out of date. It is a draft for your people to review, not advice. The Customer is responsible for reviewing guides, quizzes and any other AI Output before relying on them, especially for work that affects safety, health, money or legal compliance. As between you and us, AI Output created for your company is Customer Data and belongs to you, but we do not promise that it is unique or that no one else could receive similar text.

8. Feedback credits, if offered

8.1 No credit program is included until its earning rules and limits are expressly offered in the app. Feedback does not automatically earn a credit. Any offered credit is for the company account, not personal compensation.

8.2 Unless the offer expressly says otherwise, approved credits permit the stated AI actions, expire [90] days after grant, have no cash value, and cannot be transferred, sold or exchanged for a refund or discount. They are not granted for public reviews, ratings or social posts. A change to the program will not revoke already granted credits before their stated expiration, except for fraud, abuse or account closure.

9. Data that must not be put into myBench

9.1 No patient data; no business associate agreement. myBench is not designed to hold protected health information. We do not offer a HIPAA business associate agreement for myBench and have not agreed to act as your business associate. Do not enter, upload or record in myBench any of the following, unless a separate written agreement signed by Z6 expressly allows it:

  • protected health information or any patient details (names, dates of birth, chart numbers, treatment details, or pictures of screens showing them);
  • passwords, PINs, security codes, private keys, API keys, recovery codes or other secrets;
  • payment card numbers, bank account numbers, Social Security numbers, driver's license or passport numbers;
  • other information that is regulated as sensitive, such as health, biometric or precise location data about any person.

9.2 Guides can still describe the work. A medical or dental practice may write a guide about how to do a task in its practice software, using a demo or test patient, without real patient details.

9.3 Safety check when you save. When a guide is saved, myBench runs a lightweight automatic check and shows a warning if the text looks like it may contain a password, an account number or patient details. The check is a warning only, not a guarantee: it will miss some sensitive information and may flag harmless text. It does not make sensitive data permissible, and the Customer and its Users remain responsible for what they enter. Do not rely on automatic checks, filtering, image warnings, metadata removal or blurring to make a submission permissible.

9.4 If prohibited data gets in. Notify us promptly, identify the affected record without resending the sensitive data, and stop further disclosure. myBench does not offer a tool for users to redact earlier versions of a guide, so editing or archiving a record may leave earlier versions intact. That is why the check in section 9.3 runs before a version is saved. We may restrict access, quarantine, redact or delete affected records and versions where necessary for law, security or an authorized correction request, retaining only the minimal audit evidence lawfully needed. We will coordinate with the Customer where practical. Ordinary version retention is not a promise to preserve prohibited content.

9.5 Responsibility. The Customer is responsible for the lawfulness of its instructions and submissions and the third-party claims described in section 18. Nothing shifts Z6's own mandatory legal obligations to the Customer or excuses Z6's own unlawful conduct.

10. Your responsibilities toward your people

10.1 Telling your people. The Customer is responsible for telling its employees and other Users how their information is used in myBench, and for obtaining any consent the law requires in the places where they work, including under the California Consumer Privacy Act as amended (CCPA) where it applies to you.

10.2 Paid work time. The Customer is responsible for paying and accurately recording all compensable time its employees spend using myBench, including required off-shift activity, and for giving employees a practical way to report it. The Customer must not instruct employees to work off the clock. myBench is not a timekeeping system and does not decide wage entitlement.

10.3 Personal phones. Using myBench on a personal phone is optional for every User; a work computer is always a full way to use it. If the Customer requires personal phone use, the Customer is responsible for any expense reimbursement the law requires.

10.4 Incentives. If the Customer turns on incentives or bonuses in myBench, the Customer alone sets, approves and pays them, and is responsible for any tax, payroll or wage law that applies. Z6 never pays incentives to anyone.

10.5 Employees' removal requests. A current or former User who is a California resident may ask to have their personal information removed. The Customer will assess the request and any legal retention exception and give lawful instructions, and Z6 will assist under the DPA. Removal must not break the integrity of the business records and procedures the person entered while a User. We will therefore normally de-identify rather than delete: for example, replacing the person's name and contact details in guides and history with a neutral label, while keeping the guide, its versions and the record of what was done. Some information may be kept where the law allows an exception. There is no blanket rule denying former employees' privacy rights.

11. Acceptable use

The Customer will not, and will not allow any User or third party to:

11.1 use myBench in violation of any law, or to store or share content that is unlawful, infringing, defamatory, harassing or discriminatory;

11.2 use myBench to monitor, score, rank or discipline individuals, or to keep secret records about employees;

11.3 try to get into another company's data, probe or test the security of myBench without our written permission, get around any limit, or interfere with the Service;

11.4 copy, frame, resell, sublicense or offer myBench to others as a service bureau, or use it to build a competing product;

11.5 reverse engineer, decompile or try to extract the source code, prompts or rules of myBench, except to the extent the law allows despite this limit;

11.6 send spam or malicious code through myBench, or use automated means (bots, scrapers) to access it other than features we provide;

11.7 put prohibited data into myBench (section 9).

12. Customer Data

12.1 Your rights. As between the Customer and Z6, the Customer retains all rights it holds in Customer Data. This does not decide ownership between the Customer and employees, contractors or third parties. The Customer must obtain the rights, permissions and notices necessary for its Users' submissions and our agreed processing. Any rights Z6 holds in AI Output created specifically for the Customer are assigned to the Customer to the extent transferable; no copyrightability, exclusivity or noninfringement is guaranteed.

12.2 Limited processing permission. You authorize Z6 and its approved service providers to host, copy, process, transmit and display Customer Data to provide, secure and support the Service, address abuse and comply with law. Processing of Customer Personal Information is further restricted by the DPA. Customer Data is not licensed for unrelated advertising, sale or model training.

12.3 Limited disclosure. We disclose Customer Data only to authorized users and consultants, personnel and providers who need it for the agreed services, as you instruct, as legally required, or in a protected business transfer described in the Privacy Policy and DPA. We do not sell Customer Data or share personal information for cross-context behavioral advertising.

12.4 Operational statistics. We may use service operation metrics, such as error counts, resource use and aggregate feature usage, to secure and operate myBench. This does not authorize publication of customer benchmarks, employee profiles, or use of identifiable Customer Personal Information outside the DPA. A public benchmarking program would require a separate disclosed basis and privacy review.

12.5 Copies and export. Use the copying, printing or export functions actually available to you. A full self-service export is not promised before it is made available. An account holder may request a copy of available Customer Data by email, including during a closure retrieval period, subject to identity verification and lawful restrictions. We will provide a reasonable, commonly usable format where technically feasible; custom conversion is not included. Per-person question pace, check-ins, email-send logs and walkthrough records are excluded from ordinary company exports. Statutory access requests follow the DPA and Privacy Policy.

12.6 Versions and independent copies. The ordinary archive and guide-version features preserve prior work, but do not guarantee that nothing can be lost or that any version is permanently recoverable. Authorized privacy or security remediation, legal requirements and section 15.4 may require deletion. Maintain independent copies of critical procedures. Any separately purchased backup or recovery commitment must be stated expressly in a signed agreement.

12.7 After the account closes. See section 15.4.

13. Security and service providers

13.1 Security. We will maintain reasonable administrative, technical and organizational safeguards appropriate to the nature of the data and risks, including access controls, tenant isolation, encryption supported by the hosting and database services, and sensitive-action audit records. The DPA describes additional obligations. No system is perfectly secure, and no particular certification or service-level guarantee is provided unless stated in a signed agreement.

13.2 Providers. Providers and their roles are described in the Privacy Policy and DPA. We will use written contracts requiring appropriate confidentiality, security and processing restrictions. For new subprocessors handling Customer Personal Information, notice and objections follow the DPA.

13.3 Security incidents. We will notify the account holder without undue delay after becoming aware of a security incident affecting Customer Personal Information, in accordance with the DPA and applicable law. We will share available facts in stages and take reasonable containment and remediation steps. Notice is not conditioned on completing an investigation. Routine blocked attempts that do not compromise data are not reportable incidents by themselves.

13.4 Processing terms. The accompanying Data Processing Addendum applies to personal information processed on the Customer's behalf. The Customer must not send regulated health information or data requiring unsupported international-transfer safeguards merely because a DPA is included. Contact us before any processing requiring additional safeguards or agreements.

14. Talk to a person, and support

14.1 Support. Email us for support. Where offered, in-app requests may record your account, screen, preferred contact method, callback details or message. A screen confirming that a request was saved does not establish delivery to an external CRM or guarantee a callback. GoHighLevel routing is used only when connected and disclosed in the Privacy Policy.

14.2 Calls and automation. If automated screening, recording or transcription is enabled, we will disclose it and obtain any legally required consent before it begins. Acceptance of these Terms alone is not consent to record a confidential call. If you decline, use email or another available unrecorded channel. Access to recordings is limited to personnel and providers who need it for disclosed support purposes.

14.3 Support hours. Live support is available from 9 AM to 5 PM Pacific Time, Monday to Friday[, except US public holidays]. Outside those hours, email us and we will reply when support is next available. We provide support on a reasonable-efforts basis; no response time or service level applies unless expressly agreed in writing. Support is not an emergency service.

15. Term, ending the account, and suspension

15.1 Term. These Terms apply from affirmative acceptance by the Customer's authorized representative until termination. Trial use and Free access remain subject to them.

15.2 Ending by you. Cancel renewal as described in section 6.4. The account holder may request complete closure by email, or through a closure control when available. We may verify identity and authority. Cancellation of billing alone is not a request to delete an account that continues on Free access.

15.3 Restriction or termination by us. We may suspend or terminate for a material breach not cured within [15] days after notice; immediately where reasonably needed for suspected unlawful use, fraud, a security threat, harm, or a legal requirement; or under section 6.7 for nonpayment. Restrictions will be proportionate where practical. For convenience, we may end Free access on [60] days' notice or the Service on [90] days' notice, and refund unused prepaid fees for a service we terminate for convenience. We will preserve reasonable data retrieval unless law or security requires otherwise.

15.4 Closure, retrieval and deletion. After confirmed account closure, normal use ends and the account holder has [90] days to retrieve available Customer Data: they may sign in to myBench and export it if they choose, or request a copy by email. We may send warning emails before the data is deleted. Those emails will not include an export link; to retrieve data, sign in to myBench. We will delete or de-identify Customer Data from active systems after that period, except information reasonably required for law, disputes, billing, security or proof of acceptance. Routine backup copies will expire within a further [30] days and remain isolated from normal use; if restored, pending deletion instructions will be reapplied. A lawful deletion or security requirement may require earlier targeted removal. Billing cancellation or trial expiry alone does not trigger account deletion. Any lawfully retained exception is limited to the necessary information and purpose, subject to the DPA.

15.5 What survives. Sections about fees owed, Customer Data after closing, disclaimers, limits of liability, indemnity, and disputes survive the end of these Terms.

16. Our intellectual property, and feedback

16.1 Our property. Z6 owns myBench, including its software, design, rules, prompts, question banks, help content, starter lists, and the names myBench and The Walkout Test. These Terms give you no ownership of any of it. We give the Customer a limited, non-exclusive, non-transferable right, during the term, to let its Users access and use myBench for the Customer's internal business purposes, subject to these Terms and the EULA.

16.2 Feedback. Voluntarily submitted product feedback is licensed to Z6 on a perpetual, worldwide, royalty-free, non-exclusive basis to use, adapt and incorporate without payment or attribution. This does not transfer ownership of underlying Customer Data or permit disclosure of confidential information. Feedback may retain account and company context needed to investigate it; no anonymity is promised.

17. Disclaimers

17.1 As is. Except as expressly stated in these Terms, myBench, AI Output, starter lists, help content and any Guided services are provided "as is" and "as available". To the fullest extent the law allows, Z6 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that myBench will be uninterrupted, error free or secure, or that it will meet any legal, insurance, licensing or regulatory requirement.

17.2 No professional advice. Nothing in myBench, and nothing a Z6 consultant says under the Guided plan, is legal, HR, tax, insurance, medical or compliance advice.

18. Third-party claims

18.1 Customer indemnity. To the fullest extent lawful, the Customer will defend Z6 and its members, officers, employees and contractors against third-party claims arising from Customer Data that infringes rights or violates law, the Customer's employment practices, or the Customer's or its Users' material breach or misuse of myBench. The Customer will pay resulting final judgments, approved settlements and reasonable defense costs. This obligation does not apply to the extent a claim results from Z6's breach of these Terms, negligence, fraud, willful misconduct or unlawful conduct. It does not shift Z6's own nontransferable regulatory obligations or fines to the Customer.

18.2 No implied Z6 indemnity. Z6 undertakes a defense or indemnity obligation only if expressly stated in a separate signed agreement. Nothing here reduces remedies that applicable law does not permit to be waived.

18.3 Process. Z6 must give prompt written notice, with delay excusing the defense only to the extent materially prejudicial, reasonable cooperation at the Customer's expense, and control of the defense to the Customer using reasonably qualified counsel. Z6 may participate with its own counsel at its own expense. No settlement may admit fault, require payment or impose a nonmonetary obligation on a protected person without that person's written consent, or fail to give that person a full release.

19. Limits on liability

19.1 Excluded damages. To the fullest extent lawful, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, goodwill, business opportunities or data, even if advised that they were possible.

19.2 Aggregate cap. Subject to section 19.3, each party's combined total liability arising out of or relating to myBench, these Terms, the DPA, any EULA or Guided services is limited to the greater of US $100 or the fees the Customer paid Z6 for myBench in the 12 months before the first event giving rise to the claim. For Z6, this cap includes all claims against its members, officers, employees, contractors and licensors arising from the same services. It is one aggregate cap across claims and legal theories, not a separate cap for each incident, person, document or renewal. No party may recover twice for the same loss.

19.3 Exceptions. The exclusions and cap do not limit the Customer's payment obligations, obligations under section 18.1, or liability for fraud, willful misconduct, gross negligence, or any liability or statutory remedy that applicable law does not permit to be excluded or limited. They do not limit the Customer's liability for infringement or misappropriation of Z6's intellectual property. No separate increased cap for confidentiality or data incidents is agreed unless stated in a signed agreement; nonwaivable law still applies.

19.4 Allocation of risk. These limits reflect the fees and allocation of risk and apply to contract, tort and other legal theories to the fullest extent lawful. The protected Z6 persons are intended beneficiaries of sections 17 through 19. These provisions are not a promise that every limitation will be enforceable in every circumstance.

20. Confidentiality

Each party will protect the other's nonpublic information reasonably understood to be confidential, including Customer Data, use it only for the agreed services and legal compliance, and apply at least reasonable care. Disclosure is permitted to personnel, providers and professional advisers with a need to know and appropriate confidentiality obligations, subject to the DPA for personal information. Each party remains responsible for its representatives' compliance. Exceptions apply to information lawfully public, already known without restriction, independently developed or rightfully received without restriction. A legally required disclosure will be limited to what is required, with advance notice where lawful and practical. These duties last during the relationship and for five years afterward, and for trade secrets and retained Customer Personal Information for as long as protected by applicable law.

21. Changes to these Terms

We will give the account holder at least [30] days' advance email notice of a material change and require affirmative acceptance by an authorized representative before the changed terms govern continued normal use. A new dispute clause does not apply retroactively without a lawful separate agreement. If you decline, you may cancel; the prior terms govern the limited wind-down and retrieval process. We may end normal access when the change becomes effective, subject to applicable notice commitments, and refund unused prepaid fees if we end access because you declined a material change during a paid term. Changes needed for law or urgent security may take effect sooner to the extent necessary and lawful, with prompt notice. Typographical or explanatory changes that do not alter rights do not require reacceptance. Privacy-policy changes and any separately required consent follow the policy and law.

22. Disputes and governing law

22.1 Law. California law governs, without regard to conflict-of-law rules, subject to protections that applicable law does not permit to be waived.

22.2 Courts. Disputes will be heard exclusively in the state courts located in Orange County, California, or, if federal subject-matter jurisdiction exists, the United States District Court for the Central District of California. Both parties consent to personal jurisdiction. Mandatory venue rights under applicable law are preserved. Before filing, each party will attempt to resolve the dispute by written notice and good-faith discussion for 30 days. This does not bar urgent relief, governmental complaints or filing before a legal deadline, and does not toll a deadline unless agreed in writing.

22.3 Time limits. The limitation periods provided by applicable law apply. These Terms do not shorten them or impose mandatory arbitration or a class-action waiver.

23. General

23.1 Entire agreement. These Terms, the DPA, applicable EULA and any signed order form or Guided quote are the entire agreement about the Service, subject to section 1.4. The Privacy Policy is the accompanying privacy notice. There are no third-party enforcement rights except those expressly stated.

23.2 Assignment. The Customer may not assign these Terms without our written consent, except to a buyer of all or substantially all of its business, with notice to us. We may assign these Terms to an affiliate or to a buyer of the myBench business, with notice to the account holder.

23.3 Notices. Contractual notices go to the account holder's current email or, for Z6, azahran@z6advisory.com or the mailing address in section 24. Keep your address current. Email notice is effective when delivered without a bounce, subject to any legally required receipt or method. This clause does not authorize service of court process by ordinary email.

23.4 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.

23.5 Independent parties. The parties are independent contractors. Nothing here creates a partnership, employment or agency relationship.

23.6 No waiver; severability. Not enforcing a term is not a waiver. If a term is unenforceable, it will be enforced to the extent possible and the rest of the Terms stay in effect.

23.7 Export and service area. You must comply with applicable United States export controls and sanctions and may not allow prohibited persons or locations to use myBench. myBench is offered only to businesses operating in the United States. Processing requiring other countries' legal or transfer safeguards must be agreed in writing before it begins; ordinary acceptance is not a representation that the Service complies with every jurisdiction's law.

23.8 Electronic acceptance. An authorized representative's affirmative acceptance after conspicuous presentation of these Terms creates an electronic agreement. Copies may be saved or printed. An account holder change does not erase prior acceptance or accrued obligations.
